The Buying Process, Step by Step

Qualified buyers can access private market opportunities through Mirai Capital’s platform.

Getting Started as a Buyer

Eligibility. Access is typically limited to accredited investors, qualified purchasers, and institutional investors, subject to applicable regulations.

Paths into the market. Buyers can pursue:

  • Direct secondary purchases of shares from existing shareholders
  • Fund interests, including single-asset funds and multi-asset funds
  • SPV structures for pooled access to specific companies

Identifying Opportunities

Explore companies and sectors. Mirai Capital’s platform covers a broad range of private companies across technology, healthcare, financial services, and other sectors.

Review market activity. Company pages show pricing trends, historical transaction data, and indications of supply and demand.

Define your parameters. Before engaging, outline:

  • Target investment size
  • Preferred valuation or price per share
  • Desired ownership structure (direct shares, SPV, or fund)

Placing a Buy Indication

A buy indication signals your interest in acquiring shares. You specify:

  • The company you’re targeting
  • Your desired price per share
  • The size of your intended investment
  • Any timing considerations

Buy indications help sellers and the platform understand demand. You can adjust or withdraw your indication as circumstances change.

Evaluating and Negotiating

Receiving offers. When a seller is willing to transact on terms compatible with your indication, you’ll have the opportunity to review the details and decide whether to proceed.

Negotiation. Private transactions often involve back-and-forth. You may accept the seller’s terms, counter with a different price or structure, or pass on the opportunity.

Principal terms. Key points to settle include price per share, number of shares, and any conditions attached to the transfer.

Closing the Purchase

Once principal terms are agreed, the transaction moves toward closing. Mirai Capital coordinates:

  • Documentation
  • Compliance checks
  • Company approvals, where required

Settlement. On closing, you acquire the shares directly or obtain an interest in a vehicle holding the underlying securities.

Timelines. As with sales, closing can take several weeks to a few months depending on the company and structure.

How Things Work on Mirai Capital

Anonymity

On Mirai Capital, you can place a buy indication anonymously. Your identity is only revealed during the transaction closing process.

Company Approval

Companies and certain other investors may have transfer approval rights or right of first refusal (ROFR) over any transactions. Mirai Capital takes the lead in seeking the company’s approval.

Share and Proceeds Transfer

Once you’ve agreed to the terms of the transaction with a seller, you’ll usually sign a “share transfer agreement.” This document includes details like the number of shares for purchase and the price per share.

When buying via a fund, you’ll sign a “subscription agreement” with the fund manager. Mirai Capital will guide you through the fund purchase process.

When the transaction is complete, the seller will get the proceeds of the sale, and you’ll receive your shares or fund units.
