Fees and Costs

Understanding the fee structure helps you evaluate the net proceeds of a transaction.

What Do I Pay to Sell on Mirai Capital?

There is no fee to create an account on Mirai Capital, place a buy indication or sell indication, or review pricing or transaction data. The only time you pay Mirai Capital is if you complete a sale through Mirai Capital or if there is a “ROFR” (right of first refusal) transaction triggered by an offer through Mirai Capital.

Example 1:

You find a buyer through Mirai Capital, and the transaction is then closed with that buyer. Alternatively, you find a buyer through Mirai Capital, and then the company or an investor buys your stock through the right-of-first-refusal (ROFR) process that was triggered by the offer you received through Mirai Capital. In both instances, Mirai Capital will charge you a transaction fee based on the size of the transaction.

Example 2:

If you find a buyer through Mirai Capital, and then the company blocks the transfer, we will NOT charge you a transaction fee. On Mirai Capital, only the seller pays a fee in the event of a closed transaction. This simplifies the fee structure, and makes it easier for both you and the buyer to understand the cost of a transaction.

Other Costs

There are also other costs you may incur in connection with a successful transaction matched through Mirai Capital, such as transfer or admin fees charged by the company, legal fees, or taxes.

Fund Investment Fees

Depending on the terms of the fund, investors may be charged fees before distribution. These fees can vary significantly between funds and do not follow a standard naming convention. Depending on the fund structure, the most common fees include management fees, carried interest, administrative fees, and a distribution fee.
